General Terms and Conditions

1.1 The object of these General Conditions Of Sale, available on the website https://www.dopera.eu GENERAL CONDITIONS OF SALE section (at the address https://www.dopera.eu or other specific address adopted by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS -  doperastore.com) in favour of the user for reproduction and conservation pursuant to art. 12 of Italian Legislative Decree no. 70/03 as amended, is the online sale of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS products, carried out remotely by means of a telematic network through the website belonging to the same SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS, a company incorporated under Italian law, with registered office in Forlì (47122), Via Campo dei Fiori 3/b, registered in the Register of Companies of Forlì/Cesena, registration number 01913040406 EAI 227280, Tax Code and VAT no. 01913040406, tel. +39 0543-722777, fax +39 0543-722599, e-mail: amministrazione@solidarietaintrapresa.it.

1.2 These General Conditions apply only to online B2B (Business to Business) sales, as described above, between SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS and natural or legal persons who purchase products for purposes related to their business or professional activity (hereinafter "Customer"). These B2B online sales of products are governed not only by these General Conditions, but also by the particular conditions of sale such as, by way of example, the price, the methods of payment and shipping, the type of product, etc. from time to time selected by the Customer on the Website when placing the order.

1.3 The Customer can always consult and review these General Conditions of Sale by accessing the Website. The Customer's flagging of the relevant field of acknowledgment and acceptance on the website implies they are understood to be fully known and unconditionally accepted by the same. Therefore, a necessary condition for purchase is the Customer's prior registration on the website https://www.dopera.eu, with their simultaneous reading and acceptance of these General Conditions as well as the attribution of an identification code and password to be subsequently entered in the appropriate fields before every purchase.

1.4 The Customer acknowledges that SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will not accept orders placed (i) by subjects who are not registered Customers as defined above, (ii) by subjects who are not B2B customers as defined above, or (iii) by ordinary e-mail from Customers without their prior registration on the website https://www.dopera.eu

1.5 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS is free to update, integrate or modify these General Conditions Of Sale. Such changes will be effective for sales completed after their publication on the Website, as it constitutes communication of the changes to registered and unregistered Customers.

1.6 The Customer declares that the registration form will be filled in and any subsequent purchases will be made by subjects with the power to bind the Customer.

1.7 The Customer undertakes not to transfer his/her identification code and password to any third parties and to keep them with the utmost care and diligence, remaining solely responsible for their custody and use.

1.8 The Customer must submit the purchase order by diligently and scrupulously following the instructions and procedures described on the Website.

1.9 The Customer accepts as of now all orders sent to SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS with the Customer’s own identification code and his/her password, as well as the invoice that will be issued with the data entered by the Customer.

1.10 The sales contract will be concluded between the Customer and SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS with the sending of the "Order Confirmation" by SOLIDARIETA’ INTRAPRESA, upon completion of the procedure. This will be without prejudice to the right of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS not to fulfil the Customer's order if any checks following its receipt result in late payment or any other non-fulfilment by the same Customer relating to previous orders. SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will notify the Customer of such order suspension by e-mail, informing him/her that the suspension will remain in place until the Customer settles his/her debt position. If, following receipt of the order, no late payment or other reasons legitimising the suspension of the order fulfilment should emerge, or following the settlement of the Customer's debt position, SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will send the Customer, to the e-mail address indicated by him/her, an e-mail confirming the sale with a summary of the particular conditions, these General Conditions, as well as the Privacy Policy.

1.11 The Customer acknowledges the possibility of downloading these General Conditions from the Website and agrees that SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS send him/her a copy of these General Conditions by means of the aforementioned summary e-mails.

1.12 The order form will be filed in the SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS database and will be kept as long as the contract will produce effects and/or obligations.

1.13 Except for any express exceptions, any communications between the parties that modify the contractual conditions, as defined above, or affect the execution of the sales contract, will always take place in writing, thereby expressly including any incoming and outgoing e-mail communications from the e-mail of the sales office of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS.

 

2.1 The Customer remains solely responsible for the thoroughness and completeness of his/her identification data and in any case for any data entered on the Website and/or in the order form, in particular with reference to the ordered product, with the exclusion of any responsibility of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS

2.2 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS declines any responsibility for the information, documents and materials that may be entered by third parties on the Website, without SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS’ authorisation.

2.3 The Customer acknowledges that SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS cannot in any way be held responsible to the Customer for the suspension or interruption of the Website, for reasons not attributable to SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS' will.

 

3.1 The shipment of the products to the Customer will take place in the manner and timing indicated by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS in the Order Confirmation pursuant to art. 1.10. Shipping terms are always indicative and never essential for SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS and for the Customer.

3.2 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS (i) will carry out the shipments compatibly with its production and procurement needs and (ii) it will be able to divide the products of a single order into multiple shipments or combine in a single shipment any products indicated in different orders.

3.3 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS may suspend the shipment of the products sold in the event of failure or non-regular payment of the price by the Customer, pursuant to the following art. 4.1.

3.4 Orders will be fulfilled with maximum compliance with the specific requirements resulting from the catalogue on the Website. SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS, in the context of its own production and commercial choices, or in compliance with new regulatory provisions, may however make partial adaptations or changes to the aesthetic, constructive and functional characteristics of the product. Such changes do not require prior notification to the Customer.

3.5 The costs of packaging, shipping and transport are charged to the Customer, therefore an amount will be added to the price of the products as reimbursement for packaging, shipping and transport costs calculated automatically by the platform on the Website, with reference to eg. the place of delivery, the weight and dimensions of the goods, etc .; this amount will be displayed in the order before it is submitted by the Customer.

3.6 The products are packaged with standard packaging, intact, suitable for loading on means of transport and unloading on the ground with suitable and approved tools.

 

4.1 The payment of the full price for the purchase of the products must be made with the methods and timing indicated in the purchase order or in the sales invoice, if different.

4.2 Failure or incomplete timely payment within the term provided for by the previous art. 4.1 will constitute a serious breach by the Customer and will determine the right for SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS to terminate the contract by sending a registered letter with return receipt or a certified e-mail, without the need for any formal notice.

4.3 In case of default, without prejudice to the greater damage pursuant to art. 1224 of the Italian Civil Code, the default interests will automatically start to accrue in favour of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS at the rate established by law pursuant to Legislative Decree 231/2002 as amended.

 

5.1 Without prejudice to the specification regarding any improvements or adjustments to the product with respect to the characteristics expressed on the Website that do not affect its quality, SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS guarantees the conformity of the products with the declared technical characteristics and their lack of defects and faults, as well as their safety according to the standards in force at the time of their marketing.

5.2 The Customer is required to check upon arrival that the products comply with the order. Failing this, they are considered compliant and accepted.

5.3 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS declines all responsibility for damages of any kind, both direct and indirect, caused to things or people that are not related to the use that could legitimately be expected at the time the products were made.

5.4 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS grants the Customer a warranty of 12 (twelve) months for the lack of conformity of the products; this warranty starts from the date of delivery of the products and its operation is subject to the notification of the discrepancy within 8 (eight) days of delivery.

5.5 Any complaints regarding product defects, as well as qualitative or quantitative differences and any other visible discrepancy, must be communicated to SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS in writing within 8 (eight) days of delivery. For any hidden defects verified by the Customer, the term starts from the day of discovery duly proven by the Customer. Complaints regarding any discrepancies with the documents of transport, any damages or shortages to be associated to the transport itself, must be communicated to SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS via certified email or via e-mail within 24 (twenty-four) hours of receipt of the products.

5.6 The notification of the defect or of the non-conformity must be received accompanied, under penalty of inadmissibility, by the description of the defect or non-conformity, the sales invoice number, the product identification code and the Customer's data. Obvious defects such as breakages, abrasions, scratches, or the lack of conformity with the declared quantity, quality or aesthetic characteristics that are not immediately visible at the time of unpacking (because in this case they are understood to be accepted by the Customer and/or the end user and do not fall within the scope of the warranty) are presumed to be detectable at the time of delivery.

5.7 Any dispute of flaws and defects or lack of conformity made by the end user or by the Customer for compensation with respect to the requests from their successor in title, forwarded after the aforementioned warranty period, will be the sole responsibility of the Customer with the exclusion of any right of compensation or recourse.

5.8 In the case of justifiably and promptly submitted complaints, accompanied by the requested information, SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will carry out the warranty work in reasonable time at its headquarters or, at its sole discretion, at its own trusted support centre. To this end, the product must be delivered, by the Customer, to the headquarters of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS or the support centre indicated by the same.

5.9 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS reserves the choice, at its sole discretion, to replace or repair the products that the same SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS recognises as defective, provided that the defects are not attributable to misuse and/or wrong conservation, incorrect assembly or use of the same that is not rational or inappropriate and in any case generally to the responsibility of the Customer, his/her successors in title or any third parties.

5.10 Repairs carried out under warranty do not imply any extension of the duration nor the renewal of the warranty itself.

5.11 The warranty does not apply if the product is combined with components not marketed by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS or if the warnings and prescriptions provided or expected according to normal diligence have not been observed.

5.12 During the warranty period as established in the previous art. 5.4, SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS ensures that the products are free from flaws or defects in materials and construction, provided however that the products are in normal conditions of use and maintenance.

5.13 The warranty does not cover parts subject to normal wear, any defects or non-conformities due to normal operation and any damages originating from improper use or incorrect maintenance of the products in accordance with the use and maintenance manual or any other warning, instruction or prescription by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS. Whatever originates from tampering with the products and from any fact, conduct or omission attributable exclusively to the Customer or his/her successors in title is likewise not covered by the warranty.

5.14 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will in no case be liable for damage caused by defective or non-compliant products, by express derogation from art. 1494 of the Italian Civil Code.

 

6.1 The return of products purchased online is not permitted without the prior written authorisation of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS, which will assign a return authorisation number for the Customer to use in the return document and/or in the accounting documents. SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS reserves the right to provide for the replacement, repair or cancellation from time to time by means of a credit note.

6.2 All communications in this regard will take place electronically by e-mail or certified e-mail.

6.3 Any returns relating to goods and accessories not produced or marketed by SOLIDARIETA' INTRAPRESA SOC. COOP. SOCIALE ONLUS or without the authorisation number will not be accepted.

6.4 SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will not in any case replace or refund any products that are not intact, including partially, also due to a lack of suitable packaging..

 

It is expressly forbidden for the Customer to transfer the contract entered into pursuant to art. 1.10, except with the prior written consent of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS.

 

To anything not expressly provided for in these General Conditions of Sale and in the Special Conditions of Sale, the provisions of the Italian Civil Code and of other legal provisions shall apply. Any dispute, even of a non-contractual nature or on the account of the connection between them, arising between the Customer and SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS relating to the validity, execution, interpretation and termination of the sales contract concluded under these General Conditions, will be devolved to the exclusive jurisdiction of the Court of Forlì, without prejudice, however, to the right of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS to initiate actions before the Court of the Customer's place of residence.

 

The Customer declares to have read the information pursuant to art. 13 and 14 of Regulation (EU) 2016/679 (GDPR) available on the Site and with the acceptance of these general conditions provides consent to the processing of their personal data for the purposes and in the manner indicated in the aforementioned information. The Customer's personal, corporate and tax data, acquired directly or indirectly by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS, will be collected and processed in paper, computer or telematic form, exclusively for the purpose of allowing the fulfilment of purchase orders. The data acquired by SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS will be kept for a period of time not exceeding that necessary for the purposes for which they were collected and subsequently processed. Its deletion will occur in a safe manner. Although not expressly provided here, reference is made to the aforementioned information that the Customer declares to have received, viewed and understood.

 

The parties will keep all commercial and technical information mutually learned (including data that may be derived from objects, documents, or software and any other information or experience) confidential, with respect to third parties. Information proprietary to one party may not be duplicated or used commercially without the other party's prior written permission.

SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS retains ownership of all projects, technical documents and know-how relating to the products sold and protected by the law on trademarks and patents. The Customer, its employees, agents, collaborators and subcontractors will keep the technical documents and information received in execution of the sales contract confidential.

 

The Customer is prohibited from making any use of the images relating to the models and to the individual parts or components purchased and present in the catalogue without the written authorisation of SOLIDARIETA’ INTRAPRESA SOC. COOP. SOCIALE ONLUS.
